1. Agreement to Terms

By accessing or using the services provided by Agility AI Consultants LLC ("Company," "we," "us," or "our") through agilityaiinnercircle.com (the "Site"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Agility AI Consultants LLC provides an AI automation membership program that includes:

• Weekly group coaching calls
• Access to a private community
• Training on building AI agents and automation workflows
• Educational resources and support

3. Membership and Pricing

3.1 Membership Tiers

• Founding Members (First 57 Members): $97.00 USD charged quarterly (every 3 months)
• Standard Members (After First 57): $97.00 USD charged monthly

3.2 Billing

• Membership fees are billed automatically at the beginning of each billing cycle (quarterly or monthly depending on your membership tier)
• You authorize Agility AI Consultants LLC to charge your selected payment method for all fees
• All payments are processed securely through Paddle

3.3 Price Changes

We reserve the right to modify membership pricing with 30 days' notice to active members. Price changes will not affect your current billing cycle.

4. Refund Policy

No refunds will be provided after 3 business days from your initial purchase date. To request a refund within the 3 business day window, contact us at [email protected].

After the 3 business day refund period:

• All membership fees are non-refundable
• No partial refunds will be provided for unused portions of your membership period

5. Cancellation Policy

5.1 Member-Initiated Cancellation

• You may cancel your membership at any time
• Upon cancellation, you will retain access to all membership benefits until the end of your current paid billing period
• No refunds will be issued for the remaining time in your current billing cycle
• Your membership will not renew after your current period ends

5.2 Company-Initiated Termination

Agility AI Consultants LLC reserves the right to suspend or terminate your membership at any time, for any reason, without prior notice or refund, including but not limited to:

• Violation of these Terms of Service
• Abusive, disruptive, or inappropriate behavior
• Fraudulent activity or payment issues
• Any other reason at the Company's sole discretion

6. User Conduct

You agree to:

• Provide accurate and complete information when registering
• Maintain the confidentiality of your account credentials
• Use the services only for lawful purposes
• Respect other community members and instructors
• Not share, distribute, or resell membership content or access

You agree NOT to:

• Harass, abuse, or harm other members or staff
• Share proprietary content outside the membership
• Attempt to gain unauthorized access to our systems
• Use the service for any illegal or unauthorized purpose
• Spam or solicit other members for commercial purposes

7. Intellectual Property

All content provided through the membership, including but not limited to videos, documents, training materials, software code, and other resources, is the property of Agility AI Consultants LLC and is protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use membership content solely for your personal, non-commercial use during your active membership period.

9. Communication Platforms

Our membership may utilize various communication platforms including but not limited to:

• WhatsApp
• Slack
• Skool
• Email (via Brevo)

By joining, you agree to communicate through these platforms and understand that your use of third-party platforms is subject to their respective terms of service and privacy policies.

10. Disclaimers and Limitations of Liability

10.1 No Guarantees

The information and training provided through our membership is for educational purposes only. We make no guarantees regarding:

• Specific results or outcomes
• Business success or income generation
• The accuracy or completeness of all information provided

10.2 Limitation of Liability

To the maximum extent permitted by law, Agility AI Consultants LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

10.3 Service Availability

We do not guarantee uninterrupted access to our services. We may experience downtime, technical issues, or planned maintenance that temporarily affects service availability.

11. Indemnification

You agree to indemnify and hold harmless Agility AI Consultants LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms of Service
• Your use of the membership services
• Your violation of any third-party rights

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the service after changes constitutes acceptance of the modified terms.

Material changes will be communicated via email to active members.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
